Terms of Service for Puku Solutions HR SaaS
Welcome to Puku Solutions Human Resource platform. These Terms of Service ("Terms") govern your use of our HR services. By accessing or using our services, you agree to be bound by these Terms. If you do not agree with any part of these Terms, please refrain from using our platform.
1. Description of Service:
Puku Solutions provides a cloud-based HR SaaS platform that allows companies to manage their human resource functions, including but not limited to employee data management, payroll and leave administration, performance evaluation, attendance tracking, and talent acquisition.
2. Account Registration and Security:
a) To access and use our HR SaaS, you must create an account. You agree to provide accurate and complete information during the registration process and to keep your login credentials secure. You are responsible for all activities that occur under your account.
b) You must promptly notify Puku Solutions of any unauthorized access to or use of your account.
3. Acceptable Use:
a) You agree to use our HR SaaS platform in compliance with applicable laws and regulations and refrain from engaging in any unlawful, harmful, or abusive activities.
b) You shall not use the platform to transmit any content that is offensive, defamatory, or infringing on third-party rights.
4. Intellectual Property:
a) Puku Solutions retains all rights, title, and interest in and to the HR SaaS platform, including all related intellectual property rights. You shall not copy, modify, or distribute any part of the platform without our prior written consent.
b) You grant Puku Solutions a limited, non-exclusive, royalty-free, and worldwide license to use your content solely for the purpose of providing the HR SaaS services.
5. Data Privacy:
a) Puku Solutions collects, processes, and stores personal information in accordance with our Privacy Policy. By using our HR SaaS platform, you consent to the data practices outlined in the Privacy Policy.
b) You are responsible for complying with all applicable data protection and privacy laws regarding the collection, use, and disclosure of employee data on our platform.
6. Fees and Payment:
a) The use of our HR SaaS platform may be subject to fees, which will be communicated to you through our pricing terms. You agree to pay all applicable fees as per the chosen plan.
b) Puku Solutions reserves the right to modify the pricing and billing terms upon reasonable notice.
6.1 Refund Policy for Puku HR App:
6.1.1 Eligibility for Refund:
• Refunds may be requested within 7 days from the date of purchase, applicable only for subscriptions of up to one month (less taxes and a thirty percent administrative fee).
• To be eligible for a refund, the user must provide a valid reason for their request.
6.1.2 Valid Reasons for Refund:
• Technical issues: If the app fails to function as described due to technical issues that cannot be resolved.
• Dissatisfaction: If the user is not satisfied with the features or performance of the app.
6.1.3 Refund Process:
• Users must submit their refund request through email along with proof of purchase.
• Our customer support team will review the request and the provided information.
• Refunds will be processed within sixty days upon approval of the request.
6.1.4 Non-Refundable Items:
• Subscription fees already utilized for the current subscription period are non-refundable.
• In-app purchases made within the app are non-refundable.
• Refunds are not provided for the installation of the app.
• No refund is provided for subscriptions used for more than three months.
7. Termination:
a) You may terminate your account at any time by following the account closure process specified in the platform.
b) Puku Solutions may suspend or terminate your access to the HR SaaS platform for any reason, including but not limited to a breach of these Terms. Notice may not be provided for the sudden termination or suspension of your access to the Puku HR SaaS platform.
8. Disclaimer of Warranties:
a) Puku Solutions provides its platform on an "as-is" basis, and makes no representations or warranties of any kind, express or implied, regarding the accuracy, completeness, reliability, or suitability of the platform. Puku Solutions does not warrant that the platform will be error-free, uninterrupted, or free from viruses or other harmful components.
This disclaimer extends to computations of statutory returns, including but not limited to Pay As You Earn (PAYE), Social Security contributions, national health insurance contributions, or any other statutory calculations. Users of the platform are advised to independently verify the accuracy and completeness of any calculations or results obtained through the platform.
Puku Solutions shall not be liable for any direct, indirect, incidental, consequential, statutory fines or punitive damages arising out of the use or inability to use the platform, even if Puku Solutions has been advised of the possibility of such damages.
Users are responsible for ensuring compliance with relevant statutory requirements and regulations, and should seek professional advice if necessary.
Puku Solutions reserves the right to modify, suspend, or discontinue the platform at any time without prior notice.
By using the platform, users agree to indemnify and hold Puku Solutions harmless from any claims, losses, damages, liabilities, or expenses arising out of or related to the use of the platform.
b) Puku Solutions does not warrant that the platform will be error-free, uninterrupted, or free from viruses or other harmful components.
9. Limitation of Liability:
a) In no event shall Puku Solutions be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or in connection with the use of our HR SaaS platform.
b) Puku Solutions' total liability under these Terms, whether in contract, tort, or otherwise, shall not exceed the fees paid by you to us in the preceding six (6) months.
10. Modifications to the Terms:
a) Modification of Terms:
Puku Solutions reserves the unequivocal right to update, modify, or revise these Terms of Service at its sole discretion, without any obligation to provide prior notice. Users are encouraged to regularly review the Terms posted on our website.
b) No Liability for Modifications:
Puku Solutions shall not be held liable for any consequences arising from the modification, suspension, or discontinuation of these Terms. Users acknowledge and agree that their continued use of the platform following any changes to the Terms signifies their acceptance of such changes.
c) No Duty to Notify:
Puku Solutions is under no obligation to individually notify users of changes to the Terms. It is the users' responsibility to stay informed about any modifications by regularly checking the Terms posted on the website.
d) No Liability for Website Content:
Puku Solutions does not guarantee the accuracy, completeness, or reliability of any content, including but not limited to information regarding modifications to the Terms, posted on its website.
e) Exclusion of Warranties:
Puku Solutions disclaims all warranties, whether express or implied, including but not limited to the warranty of merchantability and fitness for a particular purpose. The platform is provided "as-is" and "as-available," without any warranties concerning its error-free, uninterrupted, or virus-free operation.
f) Limitation of Liability:
In no event shall Puku Solutions be liable for any direct, indirect, incidental, consequential, special, or exemplary damages, including but not limited to damages for loss of profits, goodwill, use, data, or other intangible losses, arising out of or in connection with the use or inability to use the platform or any content on the website.
g) Indemnification:
Users agree to indemnify and hold Puku Solutions harmless from any claims, liabilities, damages, expenses, and losses arising out of or in connection with their use of the platform.
11. Payment and Service Provision:
Service provision by Puku Solutions is expressly contingent upon the client's payment in full of all applicable fees. Upon receipt of the full payment, Puku Solutions will commence and continue to provide the agreed-upon services.

Service provision may be reinstated upon the client's full payment of any outstanding fees, subject to the sole discretion of Puku Solutions.
12. Governing Law:
These Terms shall be governed by and construed in accordance with the laws of the Republic of Zambia, without regard to its conflict of laws principles.
13. Dispute Resolution:
In case of any disputes arising, users are encouraged to reach out to our customer support team for resolution.
Any disputes not resolved through direct communication shall be settled through arbitration in Lusaka, Zambia.
14. Severability:
If any provision of these Terms is found to be invalid, illegal, or unenforceable under any applicable law, it shall not affect the validity or enforceability of the remaining provisions. The invalid, illegal, or unenforceable provision will be deemed modified to the extent necessary to make it valid, legal, and enforceable, and the remaining provisions shall continue in full force and effect.
